Terms of Service

These terms govern the services provided by Perier Sp. z o.o. (“Perier”, “we”, “us”) to clients (“you”). By submitting a project brief or engaging our services, you agree to these terms.
Services
We offer two fixed-scope products:
• Landing Page — a single, custom-designed page delivered within 48 hours, including 1 round of revisions and 3 months of managed hosting from go-live.
• MVP Website — a multi-page website (up to 5 pages) with CMS, delivered within 7 days, including 2 rounds of revisions, 30 days post-launch support, and 3 months of managed hosting from go-live.
Ongoing hosting after the included period, and additional revisions or scope changes beyond the agreed deliverables, are billed as described in these terms.
Stated delivery targets (48 hours / 7 days to a preview-ready deliverable) run from project kickoff as defined under Timelines, cooperation, and acceptance.
Timelines, cooperation, and acceptance
Kickoff. Timelines start when all of the following are met: we have received your first payment as agreed; we accept your brief as sufficient to execute (we may request written clarifications); and any blocking items you are responsible for—such as credentials, brand assets, final copy if you supply it, or DNS cooperation when agreed—have been provided or confirmed in writing where applicable.
Delays. If you delay materials, approvals, feedback, or access by more than 14 calendar days after our written request, delivery timelines pause until resolved; we are not in breach for that period.
Final approval. You approve the result by explicit email. If you do not respond within 14 calendar days after we send the final preview for approval, we may treat the work as accepted, invoice the balance due, and after payment proceed with go-live or handover as agreed. You may not withhold payment to obtain work outside these terms.
Stale projects. If we receive no substantive response for 60 consecutive calendar days despite reasonable follow-up, we may close the project for abandonment; fees for work completed remain payable, and unused included revision rounds may lapse.
Pricing and payment
All prices are fixed and stated upfront. You pay 50% when the project starts (after scope is agreed), and 50% after you approve the final result for delivery or launch. We accept bank transfer and standard online payment methods. All prices are net; applicable VAT will be added where required by law.
Invoices are due 14 days from the invoice date unless the invoice states otherwise.
Go-live and handover. Production go-live, final handover, repository access, and delivery of final source files occur only after cleared receipt of all fees then due. If work is treated as accepted under Timelines, cooperation, and acceptance but you do not pay the balance, we have no obligation to publish the site, point production domains, or grant rights beyond what Intellectual property already allows before full payment.
Late payment. Overdue amounts may incur statutory interest under applicable law. We may suspend work, withhold go-live or final handover, and suspend paid hosting after email notice as described under Hosting, until amounts are paid. You may not set off claims against our fees unless undisputed or finally adjudicated.
Chargebacks and reversals. If you reverse or dispute a payment without our prior written agreement, we may suspend all services immediately and charge reasonable costs we incur to address the dispute, without prejudice to other remedies.
Hosting
Managed hosting and deployment on infrastructure we operate (for example Cloudflare Pages) are included at no extra charge for 3 months from the go-live date as part of your project fee. After that period, hosting is billed monthly; typical rates start around USD $5–10 per month for low-traffic sites and increase with traffic, bandwidth, and resource usage. We agree the renewal rate with you before billing. You may move the site to hosting under your control; we provide reasonable assistance for a clean handover.
Hosting covers keeping the delivered build deployed and reachable. It does not include content changes, design or development work, new features, configuration beyond what was delivered, or support outside the revision rounds and (for MVP Website) the stated post-launch support window. Any such work is out of scope for hosting and requires a separate engagement at our then-current rates.
Availability. Hosting is provided on a best-effort basis; we do not guarantee a specific uptime percentage unless agreed in writing.
Non-payment. If monthly hosting fees are more than 14 days overdue, we may suspend or remove the site from our infrastructure after email notice, subject to mandatory law where it applies. Fees through the suspension date remain due. We provide reasonable assistance for export or migration after settlement or under a separate agreement.
Third-party costs
You pay fees charged by third parties unless we explicitly include them in our written quote—for example domain registration and renewal, email hosting, stock media licences, paid SaaS tied to your project, payment processors, and similar. You either contract directly with the vendor or reimburse pass-through costs as agreed per project.
Your materials and indemnity
You warrant that all materials you supply (text, images, logos, trademarks, fonts, licences, and instructions) are either yours or you have the rights needed for us to use them in the project. You are responsible for the accuracy and legality of your content and for obtaining any third-party clearances.
You indemnify Perier against third-party claims, damages, and reasonable legal costs arising from your materials, your instructions, or your operation or content on the delivered site where that claim would not have arisen but for those factors, except to the extent finally determined to have been caused by our deliberate misconduct or gross negligence.
Revisions
Landing Page projects include 1 round of revisions. MVP Website projects include 2 rounds of revisions. A “round” means one consolidated written feedback brief for that preview. You must submit it within 14 calendar days of the preview we send for that round unless we agree otherwise in writing. Late or piecemeal requests may be treated as out of scope and quoted separately. Additional revision rounds can be purchased at a fixed rate.
Support and defects
MVP Website only: for 30 calendar days after go-live we provide post-launch defect support—we remedy bugs and materially broken behaviour in functionality and templates included in the agreed deliverables.
Exclusions include: new features, new pages, redesign, copywriting or content work beyond what was delivered, SEO or growth work, performance work beyond the agreed scope, issues caused by your edits or third-party code you add, and failures of third-party platforms (including DNS at your registrar or services outside our hosting stack).
You must notify us of eligible defects within 30 days of go-live, or within 60 days of go-live if the defect was not reasonably discoverable earlier; we assess in good faith. We remedy valid issues by repair or reasonable workaround at our choice.
Landing Page: there is no post-launch support period beyond the included revision round and hosting terms. Notify us of critical defects in the delivered page within 7 calendar days of go-live.
Technical standards
Unless explicitly stated in our written scope, front ends are built for current evergreen versions of Chrome, Safari, Firefox, and Edge on desktop and mobile. Legacy or niche browsers are out of scope unless agreed in writing.
Accessibility (including WCAG 2.x conformance) is not included unless explicitly agreed in writing in your quote or statement of work.
Personal data on your website
If your site collects personal data from your visitors or customers, you are typically the controller of that data under GDPR. Where we only host or deploy the site for you, we act as a processor solely on your instructions and these terms; you remain responsible for lawful bases, transparency, privacy notices, and data subject rights for that processing. This is separate from data you send us through our own contact form (see our Privacy Policy).
Intellectual property
Until full payment, we may withhold source files, repository access, or production deployment at our discretion.
There is no obligation to provide partial finals (for example a subset of pages, assets, or source) instead of full payment unless we agree in writing.
Upon full payment, you receive all rights to the final deliverables (design files, source code, assets). Perier retains the right to showcase the work in our portfolio and marketing materials unless you object in writing.
Liability
Perier’s liability is limited to the total amount paid for the specific project. We are not liable for indirect, incidental, or consequential damages. We do not guarantee specific business outcomes (traffic, conversions, revenue) from the delivered website.
Cancellation and refunds
You may cancel before work has begun for a full refund of any amounts paid.
After project kickoff (as defined under Timelines, cooperation, and acceptance), the initial payment is a non-refundable project commitment. We are not required to refund any fees you have already paid, including any balance you paid before the usual approval milestone. We may, at our discretion and only if we confirm in writing, credit amounts already paid toward a later engagement.
Completed and delivered projects are non-refundable.
We may terminate for material breach (including payment default after written notice) or project abandonment under Timelines, cooperation, and acceptance. Amounts owed for work performed and hosting through termination remain due. Provisions on payment, intellectual property until paid, hosting suspension, and liability survive where applicable.
Force majeure
Neither party is liable for delay or non-performance caused by events beyond its reasonable control, including major infrastructure or utility failures, labour disputes, war, pandemic, or other force majeure events, provided the affected party uses reasonable efforts to mitigate and notifies the other without undue delay.
Subprocessors
You authorise us to use subprocessors (for example hosting and email infrastructure) to deliver services. We remain responsible for their processing under applicable law. A list of key subprocessors is available on request.
Governing law
These terms are governed by Polish law. Any disputes shall be resolved by the courts of Szczecin, Poland.
